Icertis acquires Dioptra to boost AI-driven contract automation

Icertis has acquired Dioptra, an AI startup specialising in legal-focused contract automation, aiming to improve how enterprises handle negotiations and pre-signature contract workflows. Dioptra's tools, which include automated playbook creation and AI-assisted risk review, will be integrated into the Icertis Contract Intelligence platform.

Strategic integration

The acquisition is intended to build on Icertis' contract intelligence portfolio by bringing additional automation and AI-driven efficiency to contract management. Through this integration, the company aims to offer enterprises greater speed and accuracy during the contract life cycle, particularly for legal departments that face increasing demands for speed and risk mitigation.

New features from Dioptra include surgical redlining and custom playbooks, enabling contract negotiation and review work to be more systematic. Icertis expects these features to drive productivity by automating elements that are typically labour intensive, such as clause drafting and compliance checking.

Market context

Contract data management has historically involved multiple disconnected systems. Icertis now offers a centralised contract data platform designed to provide insights and streamline contract creation. The addition of Dioptra's technology is expected to increase automation in pre-signature activities and enable agent-driven risk assessment and redlining, helping enterprises to realise outcomes from agreements more efficiently.

Dioptra's team, with backgrounds at Spotify, IBM Watson, and Columbia University, will join Icertis to work on further developing AI-powered contract management capabilities. Their focus will include enhancing playbook automation and agent-led processes aimed at minimising liability and simplifying compliance workflows.
